These Terms and Conditions (“Terms”) govern the supply and use of software, hardware and related services provided by Orderz.sg Pte Ltd (“Orderz.sg”, “we”, “us”) to the customer (“Customer”, “you”). By subscribing for, purchasing, or using the Service you accept these Terms.
1. Definitions
Service — Orderz.sg’s cloud POS, e-commerce builder, back-office modules and related software services.
Hardware — Physical devices sold by Orderz.sg (e.g., POS terminals, printers, cash drawers, scanners).
Subscription Term — The contracted subscription period (6-month or 12-month) specified in the quotation or order form.
Customer Data — All data, business information, configuration and transactional data provided or generated via the Service.
Effective Date — The date Orderz.sg accepts a quotation and receives the initial payment.
2. Subscription, Billing & Renewal
Subscriptions are charged per store and billed in advance for the selected 6-month or 12-month term. The 12-month term is the default plan and may have preferential pricing.
Subscriptions automatically renew for the same duration unless we receive a written cancellation at least 14 days before renewal.
Subscriptions are non-cancellable during the active term and no pro-rata refunds apply for early termination, unless otherwise specified in a quotation.
All fees are exclusive of GST and other taxes unless stated otherwise.
Payment: 50% deposit upon quotation acceptance; 50% balance before activation or hardware dispatch. Late payments may incur 1.5% monthly interest or the maximum rate permitted by law.
3. Hardware Terms
Hardware and accessories may be supplied together with the Service. Specific warranty terms for each hardware item (e.g., manufacturer warranty or Orderz.sg warranty) are documented in the quotation or invoice.
Hardware is sold outright (not leased). Ownership and risk transfer to the Customer upon delivery.
Warranty excludes physical damage, misuse, or unauthorised repairs.
LAN cabling and network installation beyond existing connection points are the Customer’s responsibility. Orderz.sg will connect devices to existing LAN/power points during installation.
4. Delivery & Activation
Standard delivery: 2–5 business days after deposit confirmation (subject to hardware stock and shipping availability).
Customer must provide stable internet (recommended ≥100 Mbps) and reliable power supply.
Activation and training are scheduled after full payment and submission of required setup details.
5. Support & Service Level
Support hours: 10:00 AM – 9:00 PM, Monday – Saturday (email, phone, WhatsApp).
Critical support: 24×7 for system-down or urgent incidents only.
Uptime SLA: 99.9% system uptime, excluding scheduled maintenance and third-party service interruptions.
6. Customer Responsibilities
Provide menu, pricing, staff and setup information at least 48 hours before installation.
Maintain functional internet connectivity, power and any required network infrastructure.
Manage secure user access (user roles, passwords, and access control).
Ensure compliance with applicable laws and regulations for business and payment processing.
7. Reseller Authorisation
Orderz.sg may appoint authorised resellers or channel partners to distribute or support the Service.
All reseller arrangements must be governed by a separate written agreement signed by both parties.
Resellers may not bind Orderz.sg or make representations on its behalf unless expressly authorised in writing.
Where a reseller handles Customer Data, the reseller must comply with Orderz.sg’s required data-protection obligations; Orderz.sg remains the Data Controller.
8. Cancellation & Refunds
Before activation or hardware dispatch: 50% of the deposit refundable (subject to any costs reasonably incurred).
After activation or hardware dispatch: no refund.
Mid-term cancellation: no pro-rata refund for unused months unless expressly agreed in writing in a quotation.
Orderz.sg may suspend or terminate service for non-payment or material breach of these Terms.
9. Termination & Data Retention
Upon termination or expiry of the subscription, Customer access to the Service will be disabled.
Orderz.sg will retain Customer Data for up to 90 days from termination to allow data export and for backup/compliance purposes.
Customers may request a data export within the 90-day window (export tools or formats are subject to Orderz.sg capabilities).
After 90 days, Customer Data will be permanently deleted or anonymised, except where retention is required by law (e.g., tax, accounting or regulatory obligations).
10. Liability
Orderz.sg’s aggregate liability under or in connection with these Terms, whether in contract, tort (including negligence) or otherwise, shall not exceed the total fees paid by the Customer for the subscription in the current subscription term.
Orderz.sg is not liable for indirect, special or consequential losses, including loss of profits, revenue, business or goodwill, or losses due to internet, payment-gateway, or third-party service failures.
Orderz.sg maintains routine backups of the SaaS platform to protect data integrity. This does not cover data loss caused by Customer’s misuse or unauthorised access to credentials.
11. Intellectual Property
All intellectual-property rights in the Service (software, documentation, trademarks) remain the property of Orderz.sg or its licensors.
Customer is granted a limited, non-exclusive, non-transferable licence to use the Service for the duration of the subscription.
12. Data Protection & Privacy
Use of the Service is subject to Orderz.sg’s Privacy Policy.
Orderz.sg complies with the Personal Data Protection Act 2012 (PDPA) of Singapore and will process personal data accordingly.
13. Force Majeure
Orderz.sg shall not be liable for any failure or delay due to circumstances beyond its reasonable control, including natural disasters, strikes, power outages, internet failures or governmental actions.
14. Governing Law & Jurisdiction
These Terms are governed by the laws of Singapore. The parties submit to the exclusive jurisdiction of the courts of Singapore.
15. Changes to Terms
Orderz.sg may update these Terms from time to time. The latest version will be published on our website and will supersede prior versions. Material changes will be notified to Customers in advance where possible.
